Terms of service

Last updated 18 October 2026.

Entrilla Pty Ltd, ABN 32 703 081 092, ACN 703 081 092, of 89 Burns Point Ferry Road, Ballina NSW 2477, Australia (“Entrilla”, “we”, “us”). These terms are the contract between us and every business that signs up for Entrilla. They cover the free trial, the plans, how billing and cancelling work, what happens to your data, what the AI does and does not promise, and what each of us is responsible for.

1. Who these terms are between, and how you accept them

1.1 These terms are a contract between Entrilla Pty Ltd, ABN 32 703 081 092, ACN 703 081 092, of 89 Burns Point Ferry Road, Ballina NSW 2477 (“Entrilla”, “we”, “us”) and the business that signs up for Entrilla (“you”, the “Customer”).

1.2 You accept these terms when you create an organisation on Entrilla, when you tick the box at sign-up, or when you first use the service, whichever comes first. If you accept on behalf of a business, you confirm that you have the authority to bind it. If you do not have that authority, do not sign up.

1.3 Entrilla is for businesses and other organisations, not for consumers. By signing up you confirm that you are acquiring the service for the purposes of a business, and not for personal, domestic or household use.

1.4 Enterprise customers sign a separate written agreement (the “Enterprise Agreement”). Where an Enterprise Agreement and these terms disagree, the Enterprise Agreement wins for that customer. A Data Processing Agreement, where one is signed, forms part of the contract.

1.5 These terms, the privacy policy, the subprocessor list on the security page, and any Enterprise Agreement or Data Processing Agreement are the whole agreement between us about Entrilla. They replace anything said or written earlier, including sales conversations.

2. Definitions

  • Customer or you: the business that signs up and is named on the subscription.
  • Owner: the person in your organisation who holds the billing role for your Instance on the Account Service. The Owner can change plans, cancel, undo a cancellation, download the export and delete the organisation.
  • Users: the people you give access to your Instance, at any level (viewer, contributor, builder, master, admin), and guests you invite from outside your organisation.
  • Editors: Users who can edit maps (contributors, builders, masters and admins). Each plan sets how many Editors you may have. Viewers, people who only confirm steps, and guests are not Editors and are not counted.
  • Customer Data: everything you and your Users put into your Instance, and everything the service derives from it for you: workflows, steps, times, pay rates, notes, replies, uploads, confirmations, rules, the ingredient shelf, the build board, analyses, Summaries, reports and exports.
  • Instance: the separate copy of the Entrilla application and its own database that runs for your organisation at its own address (yourcompany.entrilla.com), hosted in Sydney, Australia.
  • Account Service: app.entrilla.com, which holds accounts, subscriptions, billing and the counts needed to run your plan, and never workflow content.
  • Subscription: your paid plan (Solo, Starter, Team or Enterprise), monthly or annual, and the period you have paid for.
  • Trial: the free 14-day period described in clause 4.
  • AI Credits: the monthly allowance of AI actions included in each plan (clause 5).
  • End: the last day of your Trial, or the last day of the period you have paid for after a cancellation. The timeline in clause 9 counts from End.

3. The service

3.1 Entrilla is software for mapping how work gets done in your organisation, in plain words, and for finding which steps are worth fixing first. People describe a process; Entrilla maps it, puts time and (if you enter pay rates) dollars on it, applies your organisation's own rules, and recommends ways to fix each problem using the tools your business already has.

3.2 Some of the service uses an AI model to draft maps, analyse workflows, suggest improvements, draft procedures and answer questions. Clause 11 says what that means and what it does not.

3.3 We may change the service over time: add, change or remove features, and change how a feature works. We will not materially reduce what a paid plan includes during a period you have already paid for without the choice in clause 18.3.

3.4 You are responsible for your Users: for who you invite, the level you give each of them, what they put in, and keeping sign-in details safe. The permission ladder inside the product (including who can see pay rates) is yours to set; we do not override it. If a User breaks these terms, that counts as you breaking them.

4. The free trial

4.1 Every new organisation starts with a 14-day Trial. No card is needed. Nothing is charged when it ends.

4.2 The Trial gives you the full product at Team capability on your own Instance, with these limits: 150 AI Credits, up to 5 workflows and up to 150 steps across them.

4.3 The Owner may extend the Trial once, by 7 days, from the link we email when it ends. Further time is by arrangement with us.

4.4 When the Trial ends without a plan, your Instance follows the timeline in clause 9: read-only, then paused, then deleted. Choosing a plan at any point before deletion brings everything back as you left it.

4.5 The Trial is for evaluating Entrilla before you pay. One Trial per organisation.

5. Plans, Editors and AI Credits

5.1 The plans, their prices and what each includes are on the pricing page at the time you subscribe. At the date of these terms:

AI Credits a month2006002,00010,000 unless the Enterprise Agreement says otherwise
Viewers and people confirming stepsUnlimitedUnlimitedUnlimitedUnlimited
Guests from outside your organisation——UnlimitedUnlimited

5.2 Pricing is per organisation, not per seat. Only Editors count toward a plan's people limit. If you have more Editors, departments or workflows than your plan allows (for example after moving to a smaller plan), nothing is deleted, but no more can be added until you are within the limits, and for Editors the Owner chooses who stays an Editor.

5.3 AI Credits. Each AI action uses a fixed number of credits, shown in the product (for example, analysing a workflow uses 5 and a chat question uses 1). The allowance resets on the 1st of each month, Sydney time; unused credits do not carry over. No single day can use more than a fifth of the month's allowance. When the day's or the month's credits are used, AI features pause until they reset, and everything else keeps working. We do not charge for extra AI use, and we will never bill you for AI use without your agreement first. A run that fails before it starts writing gets its credits back; a run you stop part-way does not.

5.4 A free “taste” of a higher plan's features offered inside the product does not change your plan's limits or AI Credits.

5.5 Enterprise. Enterprise plans are priced per organisation under an Enterprise Agreement, invoiced once a year and payable within 30 days by bank transfer or bank debit. Nothing in an Enterprise Agreement starts until its first invoice is paid, unless we say otherwise in writing.

6. Fees, GST, invoices and payment

6.1 Prices are in Australian dollars and exclude GST. GST is added on the invoice where it applies. New Zealand customers are not charged Australian GST. Every invoice is a tax invoice showing our ABN, and you can add your organisation's ABN to your billing details.

6.2 Payments for Solo, Starter and Team plans are taken by our payment provider, Stripe, by card or by BECS direct debit. Card and bank details are held by Stripe and never by us. Monthly plans are charged each month and annual plans each year, in advance, on the day your plan started. We email a receipt for each charge, and every invoice is on your billing page.

6.3 Moving to a bigger plan. When the Owner moves up a plan, Stripe charges the prorated difference for the rest of the current period straight away, and the new plan applies once that payment goes through. If it fails, nothing changes and the old plan stays.

6.4 Moving to a smaller plan, or from yearly to monthly. The Owner books the change on the billing page. It takes effect at the end of the period you have already paid for, never sooner. Nothing is charged until then, and nothing is refunded for the current period. The Owner can undo the booking until it takes effect.

6.5 Failed payments. If a payment fails we email you and retry it, over about three weeks for cards (bank debits are retried only where the bank allows). Your Instance keeps working while we retry. If the payment is still unpaid:

  • 21 days after the first failure, your Instance becomes read-only (your Users can view and export, but not edit);
  • 35 days after the first failure, your Instance is paused (nobody can work in it, but the Owner can still sign in and export).

Paying everything owing restores full access within a minute. While a payment is behind, the Owner cannot change plans, cancel or delete the organisation until the balance is paid. The subscription is left past due; it is not cancelled automatically. We never delete your data because of an unpaid bill. What you owe remains owing, and survives the end of the plan and any later plan you buy.

6.6 Price changes. We may change list prices with at least 30 days' notice by email to the Owner. A price change never applies in the middle of a period you have paid for: it applies from your first renewal after the date it takes effect. If you move to an annual plan before then, you keep the old price for that year.

6.7 If you dispute a charge, tell us at support@entrilla.com first and we will look into it. Charging back a payment that is properly owed is a breach of these terms.

7. Term and renewal

7.1 Your Subscription starts when your first payment goes through, and renews automatically at the end of each period (monthly or yearly) unless the Owner cancels before then. For annual plans we email the Owner 30 days before renewal with the date and the amount.

7.2 Enterprise Agreements run for the term they state and renew as they state. We email 30 days before an Enterprise renewal; to change or end it, email support@entrilla.com before the renewal date.

8. Cancelling, and refunds

8.1 The Owner can cancel at any time on the billing page, from the “Cancel plan” button or by choosing “Delete organisation”. No reason is needed. We confirm the cancellation by email, in writing, with the dates that follow from clause 9 and the export link.

8.2 Your plan keeps working as normal until the end of the period you have already paid for (End). Nothing more is charged. Until End, the Owner can undo the cancellation with one click on the billing page, and nothing changes.

8.3 No refunds for part periods. We do not refund or credit any part of a period you have paid for, or any unused time, whether your plan is monthly or annual, except where the law requires it or clause 8.4 says we will. The free 14-day Trial (clause 4) is how you try Entrilla before paying.

8.4 We do refund any prepaid period you do not receive if we end the agreement without you being in breach (clause 17.6), if we stop offering the service (clause 17.6), if an infringement claim means we end it (clause 17.1), if you cancel because of a change under clause 18.3, or if you cancel after a subprocessor objection under clause 10.7.

8.5 Trials are free, so nothing is refunded when a Trial ends.

8.6 Nothing in this clause limits your rights under the Australian Consumer Law (clause 15.5).

9. What happens to your Instance after End: read-only, paused, deleted

9.1 After End (the end of your Trial without a plan, or the end of your paid period after a cancellation), your Instance follows this timeline. Each date is stated in the emails we send you.

WhenWhat happens
EndYour Instance becomes read-only for 37 days. Your Users can view and export everything, but not edit.
End + 30 daysWe email the Owner a last reminder with the export link.
End + 37 daysYour Instance is paused. Nobody can work in it, but the Owner can still sign in and download the full export.
End + 60 daysYour Instance and all Customer Data are permanently deleted: the application, its database, its files and attachments, your Users' logins to it, and the keys that open its backups. We confirm the deletion by email.
Deletion + 36 days (at the latest)The encrypted backup copies made before deletion are purged. They are locked against early removal (by anyone, us included) and can be opened only with an offline recovery key we hold. Our hosting provider's own short-term disk snapshots expire within 14 days of deletion.

9.2 Choosing a plan at any time before deletion brings your Instance back exactly as you left it. After deletion, nothing can be recovered; a returning customer starts fresh.

9.3 Earlier deletion. If the Owner asks in writing (an email to support@entrilla.com from the Owner's address), we delete your Instance within 7 days instead. That cancels any live Subscription at once. Nothing is refunded for the rest of the period (clause 8.3).

9.4 What we keep after deletion. Invoices and payment records stay with Stripe and with us for 7 years, because tax law requires us to keep records. We also keep our security audit log (a record of what was done and when, kept so we can show the deletion happened) and a reservation of your Entrilla address for 90 days so nobody else can take it. Neither holds Customer Data.

9.5 An Instance that is behind on payment is never deleted automatically (clause 6.5). Its timeline starts only on the day the balance is paid, or by agreement with you.

10. Customer Data

10.1 Ownership. Customer Data is yours. Nothing in these terms gives us ownership of it, or of anything the service produces from it for you (maps, analyses, Summaries, reports, exports). You are responsible for having the right to put it into Entrilla, including a lawful basis for any personal information in it, and for telling your people what you record.

10.2 Our licence. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit, display and back up Customer Data, only as needed to provide the service to you and your Users, to keep it secure, to meet the law, and to do what you ask us to do. That licence ends when the data is deleted under clause 9. We do not sell Customer Data, and we do not use it to train AI models, ours or anyone else's. Our providers are contractually prevented from training on it.

10.3 Across customers. Your Instance is yours alone. We never use Customer Data from one customer to serve another, and we never move it into another customer's Instance.

10.4 Export. You can export everything your organisation owns at any time, without asking us, from inside the product: one ZIP with every workflow as structured data (JSON) and as readable documents, plus your ingredient shelf, build board, user list, rules, rates and AI analysis results. Export stays available throughout the read-only and paused periods in clause 9. A download link we email is valid for 7 days.

10.5 Where it lives. Your Instance and its database run in Sydney, Australia, and its encrypted backups are stored in Sydney. Three things leave Australia: (a) the content an AI request needs, which goes to our AI provider in the United States to answer that request (clause 11); (b) the emails the product sends, through a provider in the United States, which carry names, addresses, counts and links, never workflow content; and (c) our hosting provider's application logs, which hold IP addresses and are kept for 7 days in the United States. The subprocessor list on the security page names every provider, what it sees and its region. We will not move your Instance to another region without your written agreement.

10.6 Backups. We back up each Instance every 6 hours, encrypted with a key unique to your Instance, to storage in Sydney where each backup is locked against deletion or change for 30 days, and we run a restore drill of one Instance's newest backup every week. Backups are for keeping the service running. You can ask us to restore your Instance to any backup from the last 30 days.

10.7 Subprocessors. We use the providers on the security page to run the service. We give the Owner at least 30 days' written notice before adding one. If you object on reasonable grounds and we cannot resolve the objection, you may cancel and we refund any prepaid period you do not receive.

10.8 Security. We encrypt Customer Data in transit (TLS on every connection) and at rest. Entrilla staff see inside your Instance only when one of your admins gives them access in the product, for the time and at the level your admin chooses, and that access shows in your Users page and activity log. Separately, we can reach the server your Instance runs on to deploy, back up, restart and fix it; that access is kept to the minimum, never used to read content beyond what the task needs, and every action through our admin console or operator command line is written to an audit log. We hold no security certification and claim none. The security page describes our controls as they stand today, and says which are planned rather than running. Those descriptions are what we commit to, no more.

10.9 Breach notice. If we become aware of a data breach affecting your Customer Data, we tell the Owner without undue delay, and in any case within 72 hours of becoming aware, with what we know and what we are doing, and we meet our obligations under the Notifiable Data Breaches scheme.

10.10 Privacy. Personal information is handled as the privacy policy says. For personal information your organisation puts into your Instance, you decide what is recorded and who sees it; we hold it on your behalf and help you answer requests from your people about it.

11. AI outputs, recommendations and estimates

11.1 They are recommendations. Entrilla's AI produces drafts, analyses, recommendations and answers. They are suggestions for people in your organisation to check and decide on. A recommendation changes nothing until a person in your organisation accepts it. The AI never changes a live workflow on its own: it edits one only when one of your Users asks it to, saving a version first so the change can be put back.

11.2 Estimates, not promises. The hours, dollars and savings figures Entrilla shows (including the Savings review and the CFO report) are estimates worked out from your own inputs: the steps your people described, the times they gave or confirmed, how often the work runs, and the pay rates you entered. Where an input is missing, the product may fill it with an estimate, and marks it as unconfirmed until a person confirms it. A step's estimated saving is capped at the cost of that step: it can never be more than the time the step takes. Nothing counts as banked until the change is adopted or its build ships. The figures depend on the accuracy of what your people put in, and they do not take into account anything you have not told the product.

11.3 No guarantee of savings. We do not promise that any recommendation will work for you, that any estimate will be achieved, or that you will save any particular amount of time or money. You decide which recommendations to act on, how, and when, and you bear the results of those decisions.

11.4 We do not build or operate automations. Entrilla recommends; it does not implement. Your own people (or whoever you choose) build, test and run any fix, automation or process change. We do not supply, configure, operate or support automations, integrations or changes to your other systems, and we are not responsible for them.

11.5 AI processing. AI requests are answered by Anthropic's API, processed in the United States. The content sent is what that feature needs: a workflow's steps, times, notes and your organisation's rules. Under Anthropic's commercial terms the content is used only to answer the request and is not used to train models; Anthropic may keep requests for a limited period under those terms, and we have no zero-data-retention arrangement with it. Hourly pay rates and dollar figures are never sent to the AI; Entrilla works dollar figures out itself and adds them to what you see.

11.6 AI limits. AI models make mistakes, including confident ones. Outputs may be incomplete, out of date, or wrong for your situation, and the same input can produce different outputs. Nothing the AI produces is professional advice of any kind (legal, financial, accounting, safety, employment or otherwise). Check it before relying on it.

11.7 You may use AI outputs for your own business purposes, including in documents you share inside or outside your organisation. You may not use them to build or train a competing product.

12. Acceptable use

12.1 You and your Users must not:

  • use Entrilla to break any law, or put in content you have no right to use or that infringes anyone's rights;
  • put in content that is defamatory, harassing, discriminatory or unlawful;
  • try to get past Entrilla's security or limits, probe or scan it without our written permission, or access another customer's Instance;
  • introduce malware or anything designed to damage or interfere with the service;
  • resell, sublicense, rent out or run Entrilla for another organisation without a written agreement with us (an adviser may use a Solo plan for their own methods; each client organisation has, and pays for, its own Instance);
  • use the API keys, outbound events or embeds on Team and Enterprise plans for anything other than your own organisation's workflows, or for automated or bulk use of the AI features that is not about your own workflows;
  • copy, reverse engineer, or try to extract the source code of Entrilla, except as the law allows;
  • use Entrilla, or anything it produces, to build a competing product;
  • deliberately put in sensitive personal information (health, religion, union membership and the like) that your organisation has no need to record.

12.2 Entrilla sets fair-use limits on AI actions per person and per network, shown in the product, so that one person or one office cannot use up an organisation's credits. Hitting a limit pauses that action only.

12.3 We may suspend access, in whole or in part, where we reasonably believe this clause has been breached, as clause 17.4 says.

13. Confidentiality

13.1 Each of us may receive information from the other that is confidential: for you, Customer Data and anything about your business; for us, anything about Entrilla that is not public, including prices and terms we agree with you specially, and our security details.

13.2 Each of us will keep the other's confidential information confidential, use it only for the purposes of this agreement, and share it only with people and providers who need it to do so and are bound to keep it confidential. Everyone at Entrilla who is given access to Customer Data signs a confidentiality agreement first.

13.3 This clause does not apply to information that is public through no fault of the receiver, that the receiver already lawfully had, or that the law or a court requires be disclosed (where we tell you first if the law allows). It lasts for as long as the information stays confidential, including after the agreement ends.

14. Intellectual property and feedback

14.1 Entrilla, its software, design, documentation, the demo company and its data, and everything we build to run the service are ours (or our licensors') and stay ours. These terms give you a non-exclusive, non-transferable right to use the service for your organisation's internal business purposes for as long as your Subscription (or Trial) lasts. Nothing else is given.

14.2 Customer Data, and the outputs the service produces from it for you, are yours (clause 10.1).

14.3 Recommendations in the product are drawn from a general library (the “ingredient shelf”) that we maintain and apply to every customer. Your rules, and the way the library is applied to your workflows, are Customer Data; the library itself is ours.

14.4 Feedback. If you or your Users give us feedback, suggestions or ideas about Entrilla, we may use them without restriction and without owing you anything, and you confirm you have the right to give them. Feedback never includes Customer Data, and we do not treat Customer Data as feedback.

14.5 Your name. We will not name you as a customer in our marketing without your written permission, which you can withdraw on two weeks' notice.

15. Warranties and disclaimers

15.1 We warrant that we will provide the service with reasonable care and skill, substantially as the product documentation and the security page describe it at the time, and that we have the right to grant the licence in clause 14.1.

15.2 Availability. We take reasonable care to keep the service available. We make no promise of a particular level of uptime, and we do not offer service credits for downtime. Planned maintenance that takes your Instance offline for more than about a minute is announced to the Owner by email in advance, outside Australian business hours where we can, and current status is at status.entrilla.com. Our hosting runs in one Australian region, and we do not move an Instance to another country to keep it up; a regional outage affects every Instance until the provider recovers.

15.3 You warrant that you are a business, that the person accepting has authority, that you own or have the right to use everything you put into Entrilla, and that your use complies with the law.

15.4 Everything else is excluded. Except as clauses 15.1 and 15.2 say, and subject to clause 15.5, the service, the AI outputs and the estimates are provided as they are and as available, and we give no other warranty, condition or guarantee, express or implied, including about fitness for a particular purpose, accuracy, uninterrupted or error-free operation, or results. In particular, clause 11 applies to everything the AI produces and every figure the product shows.

15.5 Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted or modified, including your remedies for a major failure. If a guarantee applies and the law allows us to limit our liability for breaching it, our liability is limited, at our option, to supplying the service again or paying the cost of having it supplied again.

16. Liability

16.1 Cap. Subject to clauses 15.5 and 16.4, our total liability to you, for everything arising out of or in connection with these terms and the service, however it arises (contract, tort including negligence, statute or otherwise), is limited in aggregate to the greater of (a) the fees you paid us in the 12 months before the event that gave rise to the claim and (b) A$1,000.

16.2 Excluded loss. Subject to clause 16.4, neither of us is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings (including any saving an estimate suggested), for loss or corruption of data where a current export or backup was available to you, or for any indirect or consequential loss, even if told it was possible.

16.3 Your mitigation. You are responsible for exporting your data before it is deleted under clause 9, for checking AI outputs and estimates before relying on them (clause 11), and for the decisions you make on them.

16.4 Carve-outs. The cap in 16.1 and the exclusions in 16.2 do not apply to: liability that cannot lawfully be limited; either party's fraud or wilful misconduct; your obligation to pay fees; your breach of clause 12 (acceptable use) or clause 14.1 (licence); either party's breach of clause 13 (confidentiality); or the indemnities in clause 17.

16.5 Each of us must take reasonable steps to mitigate any loss.

17. Indemnities, suspension and termination

17.1 Our indemnity. We will defend you against any claim by a third party that your use of Entrilla as these terms allow infringes that party's Australian intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, from your rules, from your use in breach of these terms, or from combining Entrilla with something we did not supply. If such a claim is made or we think one is likely, we may fix the service so it does not infringe, replace it with something equivalent, or, if neither is reasonably possible, end the agreement and refund any prepaid period you do not receive. This clause is your only remedy for infringement claims.

17.2 Your indemnity. You will defend us against any claim by a third party arising from Customer Data (including that it infringes rights or was collected unlawfully), from your or your Users' breach of clause 12, or from any automation, change or decision you implement on the basis of a recommendation or estimate, and pay the damages and costs finally awarded or agreed in settlement.

17.3 How indemnities work. The indemnified party must tell the other promptly, give it control of the defence and settlement (but no settlement that admits fault for the indemnified party without its consent), and give reasonable help at the indemnifying party's cost.

17.4 Suspension. We may suspend access to your Instance, in whole or in part, where: a payment is overdue as clause 6.5 says; we reasonably believe you or a User has breached clause 12; the Instance is being used in a way that threatens the security or stability of the service or another customer; or the law requires. We suspend only as much as is needed and for as long as the cause lasts, and we tell the Owner why, before if we can and otherwise as soon as we can. Suspension does not stop fees falling due, and does not by itself delete anything.

17.5 Termination for breach. Either party may end the agreement at once by written notice if the other materially breaches it and, where the breach can be fixed, does not fix it within 14 days of being asked in writing. We may end it at once, without a cure period, for a breach of clause 12 that is serious or repeated, or if you become insolvent.

17.6 Termination by us without breach, and wind-down. We may end the agreement for any reason with at least 60 days' written notice to the Owner. If we stop offering Entrilla altogether, we give at least 90 days' written notice to the Owner. In either case we keep export open for the whole notice period and refund any prepaid period you do not receive.

17.7 After the end. When the agreement ends for any reason, your Instance follows clause 9 from End (or, where we end it for your breach, from the date of termination). Clauses that by their nature should survive (8.3 to 8.6, 9, 10.1, 10.2 as to deletion, 11, 13, 14, 15, 16, 17 and 19) survive.

18. Changes to these terms

18.1 We may change these terms. We give the Owner at least 30 days' notice by email, and the product shows the change. The new terms apply from the date in the notice, and your continued use after that date is acceptance.

18.2 Changes required by law, or that only add new features or make the terms clearer without reducing your rights, may take effect sooner.

18.3 If a change materially reduces what you get, you may cancel before it takes effect and we refund any prepaid period you do not use. A change never alters the price or scope of an Enterprise Agreement during its term.

19. General

19.1 Notices. Notices to us go to support@entrilla.com, or by post to Entrilla Pty Ltd, 89 Burns Point Ferry Road, Ballina NSW 2477. Notices to you go to the Owner's email address on the account, and are taken to be received the next business day after sending. Keep that address current.

19.2 Support. Support is by email at support@entrilla.com. The level of support included in each plan (documentation, email, priority email, or an agreed SLA for Enterprise) is on the pricing page. Security questions go to security@entrilla.com and privacy requests to privacy@entrilla.com.

19.3 Assignment. You may not assign or transfer the agreement without our written consent, which we will not unreasonably withhold for a transfer to a successor of your business. We may assign it to a related company or to a buyer of our business, and will tell you if we do. The Owner may transfer the Owner role to another person in your organisation from the Account Service.

19.4 Subcontracting. We may use subcontractors and providers (the subprocessor list) to deliver the service; we remain responsible for them.

19.5 Force majeure. Neither party is liable for failing to perform (other than paying money) because of something outside its reasonable control, including a failure of a hosting region, a telecommunications or power failure, a cyber attack we took reasonable steps against, or government action, for as long as it lasts, if it tells the other promptly and does what it reasonably can to work around it.

19.6 Entire agreement. Clause 1.5 states the whole agreement. Each party confirms it has not relied on anything not in it. A purchase order or other document you send does not change these terms, even if we accept it.

19.7 Severability. If any part of these terms is invalid or unenforceable, it is severed or read down to the minimum needed, and the rest stands.

19.8 No waiver. Not enforcing a right is not a waiver of it.

19.9 Relationship. We are independent contractors. Nothing creates a partnership, agency or employment.

19.10 Governing law and courts. These terms are governed by the law of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the courts that hear appeals from them.

19.11 Disputes. Before starting proceedings (other than for urgent relief or unpaid fees), each party will try to resolve a dispute by a conversation between the Owner and our founder within 14 days of a written request.

19.12 Interpretation. Headings are for convenience. “Including” means “including without limitation”. A reference to writing includes email. Business day means a day that is not a Saturday, Sunday or public holiday in New South Wales.
